House on the Moon – Wholesale Terms of Sale

Thank you for being part of our mission to reimagine waste into wellness. At House on the Moon, we deeply value our wholesale partners and the relationships that help us bring stillness, mindfulness, and sustainability to more people. These Terms of Sale set out the responsibilities and commitments for wholesale orders.

The terms “House on the Moon,” “we,” “us,” and “our” refer to House on the Moon Ltd.

1. Acceptance of Terms

By placing an order with House on the Moon or by accepting our products (“Products”), you agree to these Terms of Sale. Products purchased are intended for resale directly to retail end-use consumers only.

You agree:

  • Not to resell our Products to third-party distributors without our express written consent.
  • Not to sell our Products on third-party platforms such as Amazon Marketplace, eBay, or similar sites without prior written agreement.
  • That Products purchased are to be sold only in the country of purchase and may not be exported, transshipped, or diverted elsewhere without our authorization.

2. Brand Protection & Values

House on the Moon exists to create products that care for the mind, body, and earth. To protect our mission and our brand:

  • Wholesale partners may not modify, repair, or alter our Products without our permission.
  • Products must be marketed and displayed in a way that aligns with our brand values of sustainability, wellness, and ethical living.
  • We reserve the right to refuse or cancel orders where we reasonably believe our brand reputation may be harmed.

3. Ordering & Availability

  • All orders are subject to availability, acceptance, and credit approval.
  • Orders may be refused or cancelled if:

    - The Products are out of stock.
    - Billing or account information is incorrect or overdue.
    - We have reason to believe the Products - will not be sold to end-use consumers or our Terms are violated.
  • We reserve the right to discontinue Products or collections at any time.

4. Payment Terms

  • Standard payment terms: Net 30 days (unless otherwise agreed in writing).
  • Invoices are issued by email within 7 days of shipment.
  • Past due accounts will be charged interest at 1.5% per month.
  • Orders will not be shipped to accounts with overdue balances.

5. Shipping & Delivery

  • All shipments are made under FOB origin terms, via our designated carriers.
  • Unless otherwise specified, shipping is charged at cost.
  • We reserve the right to ship up to 10 days in advance of the requested delivery date.
  • Any claims or discrepancies must be reported within 14 days of receipt.

6. Cancellations & Returns

  • Orders may be cancelled or revised only with our prior written consent.
  • Cancellations must be made at least 30 days prior to requested delivery.
  • Returns are not accepted unless agreed to in writing.

7. Intellectual Property

  • Wholesale partners are granted a non-exclusive, revocable license to use House on the Moon branding, trademarks, and marketing materials solely for the purpose of selling our Products.
  • All intellectual property remains the property of House on the Moon.

8. Online Sales Policy

  • Wholesale partners may not sell our Products online without prior written agreement.
  • Unauthorized online listings or keyword advertising using our brand name or variations thereof are strictly prohibited.

9. Warranties & Liability

  • We warrant our Products to end-use consumers as set forth in our limited warranty.
  • Except as expressly provided, we disclaim all other warranties, express or implied.
  • In no event shall our liability exceed the purchase price of the Products ordered.

10. Governing Law & Disputes

These Terms are governed by the laws of England and Wales.

  • Disputes should first be resolved in good faith consultation.
  • If unresolved, disputes will be submitted to mediation before resorting to litigation.
  • Courts of England and Wales shall have exclusive jurisdiction.

11. Termination

We may terminate a wholesale account and cancel any open orders at our sole discretion, including for violation of these Terms. Upon termination, all outstanding amounts become immediately payable.

12. No Franchise or Partnership

Nothing in these Terms creates a joint venture, partnership, agency, or franchise relationship.

13. Compliance & Indemnity

You agree to comply with all applicable laws, and to indemnify House on the Moon against any claims, damages, or expenses arising from your misuse of our Products or breach of these Terms.

Final Notes

These Terms may be updated by us from time to time. By continuing to place orders or accept our Products, you agree to any updated Terms.
